1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the AlgoSys platform and all related services operated by Traders Destination Academy LLP ("Company", "we", "us", or "our").

By creating an account, purchasing a subscription, or otherwise accessing the platform, you confirm that you have read these Terms, understand them, and agree to be bound by them. If you do not agree, you must not use the platform.

We may update these Terms from time to time. Continued use of the platform after changes are published constitutes your acceptance of the updated Terms.

2. Definitions

• "Platform" — the AlgoSys trading automation software and web application accessible at https://algosys.co.in and https://v2.algosys.co.in.
• "Service" — any feature, tool, workflow, or functionality offered through the Platform, including subscriptions, strategy automation, signal routing, and custom development engagements.
• "User" / "You" — any individual or entity who creates an account or accesses the Platform.
• "Broker API" — the application programming interface provided by a SEBI-registered stockbroker that the Platform connects to for order routing.
• "Strategy" — an algorithmic, rule-based, or signal-driven trading logic defined and owned by the User.
• "Content" — any data, text, code, logic, or other material submitted to or generated through the Platform by the User.

3. Account Registration and Access

To access the Platform, you must register with a valid email address and provide accurate, complete account information. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorised access at info@algosys.co.in.

Account sharing is not permitted. One account may not be used by multiple individuals simultaneously. We reserve the right to suspend or terminate accounts found to be shared or misused.

4. Use of the Service

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Reverse-engineer, decompile, or attempt to extract the source code of any part of the Platform.
• Scrape, crawl, or systematically extract data from the Platform without our written consent.
• Attempt to gain unauthorised access to any system, account, or data.
• Use the Platform to engage in market manipulation, front-running, or any activity prohibited under applicable law.
• Resell, sublicense, or provide third-party access to the Platform using your account.
• Upload or transmit malware, harmful code, or content that violates any applicable law.

5. No Financial Advice

AlgoSys is a technology platform. We do not act as a broker, investment adviser, research analyst, portfolio manager, or provider of trading tips or recommendations.

Nothing on the Platform — including strategy templates, example configurations, documentation, or any content published on our website or blog — constitutes financial, investment, or trading advice. All information is provided for operational and educational purposes only.

All trading and investment decisions are solely yours. We are not responsible for any financial outcomes resulting from how you choose to use the Platform.

6. User Responsibility for Trading

You are solely and entirely responsible for:

• The strategy logic you configure and deploy on the Platform.
• The capital you allocate to any trade or strategy.
• All trading decisions, entries, exits, and risk management.
• Compliance with applicable laws and the terms of your broker.

AlgoSys executes automated instructions according to your configuration. We are not responsible for any loss of capital, missed trades, or other outcomes resulting from strategies deployed through the Platform.

7. Broker API Integrations and Third-Party Tools

AlgoSys connects to Broker APIs and third-party platforms to enable automation workflows. Supported integrations may include, but are not limited to, SEBI-registered brokers (such as Zerodha, Fyers, Angel Broking, and others), TradingView, AmiBroker, and MetaTrader 4/5, where applicable.

The availability, reliability, and feature set of these integrations depend entirely on the respective third-party providers. We are not liable for:

• Broker API outages, rate limits, or authentication failures.
• Changes to third-party APIs that affect Platform functionality.
• Discontinuation of any integration or third-party service.
• Order rejections or delays attributable to your broker.

8. No Guarantee of Performance

We do not guarantee, represent, or warrant:

• That the Platform will generate profits or positive returns for any user.
• Uninterrupted, error-free, or continuously available platform uptime.
• The accuracy, completeness, or timeliness of market data, prices, or indicators displayed on the Platform.
• That any strategy will perform in live markets as it did in backtesting or simulation.

Trading in financial instruments — including equities, derivatives, currencies, and commodities — carries the risk of partial or total loss of capital. You should not trade with funds you cannot afford to lose.

9. Risks of Automated and Manual Trading

Automated trading carries risks in addition to those of manual trading, including but not limited to:

• Unintended order placement due to software bugs, incorrect configurations, or connectivity failures.
• Rapid amplification of losses if a strategy is not properly risk-managed.
• Latency or delays in order execution caused by network conditions or broker processing.
• Failure of stop-loss, position sizing, or exit logic in fast-moving markets.

Past performance of any strategy, system, or trading approach is not indicative of future results. By using the Platform, you confirm that you understand and accept these risks.

10. Payments and Refunds

All fees for Platform subscriptions and services are collected via secure third-party payment gateways. Subscription fees are billed in advance for the chosen billing period.

11. License and EULA

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable, limited licence to access and use the Platform for your personal or internal business trading purposes.

You may not:

• Sub-license, sell, transfer, or share your account access with others.
• Use the Platform to build a competing product or service.
• Copy, modify, adapt, or create derivative works of any part of the Platform's software or interface.

Strategy logic and rules you create and configure within the Platform remain your intellectual property. We do not claim ownership over your trading strategies.

12. Intellectual Property

The AlgoSys name, logo, software, user interface design, documentation, and all related content are the intellectual property of Traders Destination Academy LLP and are protected under applicable Indian and international intellectual property laws.

You may not reproduce, republish, distribute, modify, or create derivative works based on any of our intellectual property without our prior written consent.

13. Third-Party Services

The Platform may use, integrate with, or link to third-party services, including payment gateways (such as Razorpay), cloud infrastructure providers, analytics tools, font providers (Google Fonts), broker APIs, and trading platforms. Your use of those third-party services is governed by their respective terms and privacy policies.

We are not responsible for the content, availability, or practices of any third-party service. Links to external websites do not constitute our endorsement of those sites.

14. Privacy and Data Use

We collect and process information about you when you use the Platform. This includes:

• Account data: name, email address, and contact details you provide at registration.
• Usage data: strategy configurations, trade logs, session activity, and feature usage generated during your use of the Platform.
• Technical data: IP address, browser type, device information, and operating system collected automatically.

We use this data to deliver and improve the Service, provide customer support, ensure security, and communicate with you about your account. We do not sell your personal data to third parties.

Privacy-related terms are summarised here. A separate Privacy Policy may be published or updated from time to time at https://algosys.co.in/privacy-policy.html. In the event of any conflict, the separate Privacy Policy will take precedence for privacy-specific matters.

15. Cookies and Usage Data

We use cookies and similar technologies to operate the Platform, maintain your session, remember your preferences, and understand how users navigate our website and application.

You may disable or restrict cookies through your browser settings. Some features of the Platform may not function correctly if cookies are disabled.

We may use aggregated, anonymised usage data to improve the Platform. This data does not identify individual users.

16. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total aggregate liability for any claim arising out of or related to these Terms or your use of the Platform shall not exceed the total fees paid by you to the Company in the three calendar months immediately preceding the event giving rise to the claim.

Under no circumstances shall we be liable for:

• Loss of trading capital, profits, or investment returns.
• Indirect, incidental, special, consequential, or punitive damages.
• Loss of data, loss of opportunity, or business interruption.
• Damages caused by broker failures, API outages, market events, or third-party services.

These limitations apply even if we have been advised of the possibility of such damages.

17. Termination

We may suspend or terminate your access to the Platform, without prior notice or liability, if:

• You violate any provision of these Terms.
• We reasonably believe your use poses a security risk or harm to the Platform or other users.
• Required to do so by applicable law or regulatory authority.

You may terminate your account at any time by cancelling your subscription and discontinuing use of the Platform. Termination does not entitle you to a refund unless you qualify under our Refund Policy.

Upon termination, your licence to use the Platform ceases immediately.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice on the Platform before the changes take effect.

Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Platform and cancel your subscription.

19. Governing Law

These Terms are governed by the laws of India. Subject to applicable law, disputes arising out of or in connection with these Terms shall be subject to the jurisdiction of the competent courts in Maharashtra, India.
